By accessing or using Emission³ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Emission³ provides a carbon accounting and compliance platform that includes:

• Document ingestion and OCR processing
• AI-powered document classification
• Emissions calculation and tracking
• Regulatory report generation (CBAM, CSRD, SB 253)
• Audit trail and evidence management
• Supplier data collection tools

3.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Types

We offer different account tiers (Shadow, Authorized Declarant, Enterprise) with varying features and limits as described on our Pricing page.

You agree NOT to:

• Use the Service for any illegal purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with the Service's operation or other users' access
• Scrape, crawl, or harvest data without permission
• Impersonate another person or entity
• Use the Service to transmit spam or unsolicited communications
• Circumvent usage limits or access controls

5.1 Your Data

You retain all ownership rights to the data you upload ("Your Data"). By using our Service, you grant us a limited license to:

• Process, store, and analyze Your Data to provide the Service
• Create derivative works (e.g., emissions calculations) from Your Data
• Generate anonymized, aggregated insights for service improvement

5.2 Our Content

The Service, including its software, design, features, and documentation, is owned by Emission³ and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

6.1 No Guarantee of Accuracy

While we strive for accuracy, Emission³ does NOT guarantee that:

• Emissions calculations are 100% accurate
• AI classifications are error-free
• Reports will satisfy all regulatory requirements

You are responsible for reviewing and verifying all outputs before submission to regulators.

6.2 Not Legal or Accounting Advice

The Service is not a substitute for professional legal, accounting, or compliance advice. Always consult qualified professionals for regulatory filings.

6.3 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Emission³ shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any regulatory penalties, fines, or sanctions resulting from your use of the Service

You agree to indemnify and hold harmless Emission³ and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your regulatory filings or submissions

9.1 Billing

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law.

9.2 Price Changes

We may change prices with 30 days' notice. Continued use after price changes constitutes acceptance.

9.3 Taxes

You are responsible for all applicable taxes. Prices do not include taxes unless stated otherwise.

10.1 By You

You may cancel your account at any time through your account settings or by contacting support.

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent activity

10.3 Effect of Termination

Upon termination, you may export your data for 30 days. After that, we may delete Your Data in accordance with our retention policies.

We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of the UAE. Any disputes shall be resolved through binding arbitration in Dubai, UAE, except that either party may seek injunctive relief in court.

• Entire Agreement: These Terms constitute the entire agreement between you and Emission³
• Severability: If any provision is unenforceable, the remainder stays in effect
• Waiver: Our failure to enforce any right is not a waiver of that right
• Assignment: You may not assign your rights without our consent
